Terms of Service

These Terms of Service (the “Terms”) are a binding agreement between Unidata Labs, Inc., doing business as Overheard (“Overheard,” “we,” “us,” “our”), and the person or entity using our services (“you”). They govern your access to and use of our website and our AI product-research platform (together, the “Services”). By using the Services, you agree to these Terms. If you do not agree, do not use the Services.
Taking part in a study? These Terms govern researchers and customers. If you are taking part in an interview as a participant, these Terms do not apply to you; your participation is governed by a separate Participant Terms of Service, shown to participants before the interview begins.
1. Eligibility and authority
You must be at least 18 years old to use the Services. If you use the Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms, and “you” includes that organization.
2. Our services
We provide an AI product-research platform that helps you design studies, conduct AI-led interviews, and synthesize results. We may change, suspend, or discontinue any part of the Services at any time. We aim for high availability but do not guarantee that the Services will be uninterrupted or error-free. The Services are an early-stage product.
3. Your account
You are responsible for your account, for keeping your login credentials confidential, and for all activity under your account. Tell us promptly at hello@withoverheard.com if you suspect unauthorized use.
4. Subscriptions and payment
Some features require a paid plan. If you buy one, you authorize us and our payment processor (Stripe) to charge your payment method on the billing cycle you select. Paid plans renew automatically until you cancel; you can cancel at any time, and cancellation takes effect at the end of the current term. Fees are stated exclusive of taxes, which you are responsible for. We may change fees on reasonable notice. Except where required by law, fees are non-refundable.
5. Your content and study data
You retain ownership of the studies, questions, and other content you provide, and of the interview transcripts and synthesized outputs generated for your studies (“Customer Content”). You grant us a worldwide, non-exclusive license to host, process, and use Customer Content to provide and improve the Services and as described in our Privacy Policy. You are responsible for your Customer Content and for having the rights and permissions needed for us to process it.
6. Researcher responsibilities
If you use the Services to conduct research with participants, you represent and agree that: (a) you have the right and all necessary consents to interview your participants and to collect, use, and share their responses, and you act as the data controller for that participant data; (b) you will not recruit or knowingly interview anyone under 18; (c) you are responsible for the lawful basis for any sensitive or special-category information your questions may elicit; and (d) you will comply with applicable privacy, recording-consent, and AI-disclosure laws in the places where your participants are located. Our handling of participant data is described in the Participant Privacy Policy shown to participants before the interview begins.
7. Acceptable use
You agree not to: use the Services unlawfully or to infringe others’ rights; upload content that is unlawful, infringing, or harmful; interfere with or disrupt the Services or their security; reverse engineer, scrape, or access the Services through unauthorized automated means; resell or provide the Services to third parties except as we permit; or misuse the AI interviewer to collect data you have no right to collect. We may suspend or terminate access for violations.
8. Intellectual property and feedback
The Services, including our software, content, and trademarks, are owned by Overheard and our licensors and are protected by law. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Services for your internal business purposes, subject to these Terms. If you send us feedback or suggestions, you grant us a perpetual, royalty-free license to use them without obligation to you.
9. Term and termination
These Terms apply while you use the Services. You may stop using the Services at any time. We may suspend or terminate your access if you breach these Terms or to protect the Services or others. On termination, your right to use the Services ends; provisions that by their nature should survive (including the feedback license, disclaimers, liability limits, and indemnification) will survive.
10. Disclaimers
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
The Services use artificial intelligence to conduct interviews and to generate study designs, transcripts, summaries, and synthesized insights. AI output may contain errors or omissions and may not reflect every nuance of the underlying interviews. You are responsible for reviewing and independently verifying AI output before relying on it, and you should not treat it as professional advice.
11. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, OVERHEARD WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, OR DATA. OUR TOTAL LIABILITY FOR ANY CLAIM WILL NOT EXCEED THE GREATER OF THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM OR ONE HUNDRED US DOLLARS ($100). Nothing in these Terms limits liability that cannot be limited under applicable law, including for fraud, willful injury, or violation of law.
12. Indemnification
You will indemnify and hold harmless Overheard and its officers, employees, and agents from claims, losses, and expenses (including reasonable legal fees) arising from your use of the Services, your Customer Content, your research with participants, or your breach of these Terms or applicable law.
13. Governing law and disputes
These Terms are governed by the laws of the State of California, without regard to its conflict-of-law rules. Disputes will be brought in the state or federal courts located in California.
14. Miscellaneous and contact
These Terms are the entire agreement between you and us regarding the Services and supersede prior agreements. We may update these Terms by posting an updated version with a new “last updated” date; material changes take effect as stated in the notice, and continued use means you accept them. We may assign these Terms in connection with a merger, acquisition, or sale of assets; you may not assign them without our consent. If any provision is unenforceable, the rest remain in effect. You consent to receive notices and disclosures electronically. California residents may reach the Complaint Assistance Unit of the California Department of Consumer Affairs at 1625 N.
